This is a combined synopsis/ solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. The solicitation number is GS-02P-08-CV-P-0006 and is issued as a Request for Quotations (RFQ). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 05-23. This acquisition will be awarded as a Firm Fixed Price (FFP) and is being conducted in accordance with Federal Acquisition Regulations (FAR) Part 12- Commercial Items and in conjunction with FAR 13-Simplified Acquisition Procedures, 100% Small Business Set-Aside. The contractor shall provide the following: CLIN0001: 20 each Title Search CLIN0002: 8 each Title Insurance for Referenced Land CLIN0003: 8 each Escrow Agent Wire Fee CLIN0004: 8 each Recording Services (sale) CLIN0005: 8 each Recording Deed CLIN0006: 8 each Filing Transfer Tax CLIN0007: 8 each Filing Real Property Transfer Report CLIN0008: 1 lot Miscellaneous Charges (copies, calls, postage, other recording fees) The Scope of Work is as follows: SCOPE OF WORK PROJECT NAME: TITLE SEARCH, TITLE INSURANCE and CLOSING FOR WELLESLY ISLAND, NEW YORK COUNTY OF JEFFERSON TITLE INSURANCE AND OTHER TITLE WORK GENERAL INFORMATION 1. The United States of America, by and through the General Services Administration (GSA), will acquire property, to include mineral interests, in the vicinity of, or located for parcels of land adjacent west of Interstate 81, Town of Orleans, County of Jefferson, State of New York as described below. In addition, include in the title search should include proprieties within the Rift Camp, accessible from the western side of the Port of Entry (POE) and extending in a northwestern direction, even though these properties will not be acquired. The designated and awarded title company / attorney(s), hereinafter sometimes referred to in the singular as contractor, supervision, equipment, material, and supplies required to furnish as ordered, the items specified below. 2. GSA will require title evidence, title policies, tax certificates, and photocopies of previously recorded documents, all relating to those lands and relating to minerals. It is intended that the commitments for title insurance, updates or continuances of title information, endorsements, and final title policies will include and consider the ownership of the surface and will include minerals or other subsurface estates and any outstanding third-party interests. Unless otherwise specified in the order, the products and services delivered shall cover the entire ownership of the tract, and if certain estates, mineral interests or other subsurface interests are vested in other than the owner or owners of the surface, the products and services specified herein shall cover all such outstanding estates or interests. 3. Title insurance premiums are to be in accordance with rates that are on file or approved by the applicable state agency regulating the writing of title insurance in the State of New York. Work shall be in compliance with the requirements incorporated herein furnishing and delivering policies of title insurance. Policies shall be prepared in accordance with the Department of Justice, Land and Natural Resources Division, Standards for the Preparation of Title evidence in Land Acquisitions by the United States, dated 2001, as amended: http://www.usdoj.gov/enrd/Legal_Topics/Legal_Docs_Title_Standards.html#chap_1.) 4. The estimated number of properties to be acquired is eight (8), the majority of which are located in the Town of Orleans, County of Jefferson, and State of New York. Qualified title insurance company(ies) / attorney (s) doing work in the Town of Orleans, County of Jefferson, State of New York will be selected to provided title evidence and policies as stated above and herein, pertaining to these properties. Firms must be approved by the United States Department of Justice or be underwritten by approved title companies at the time of their submittal to be considered qualified to render the products and services delineated herein. Orders may be placed with more than one company. 5. The contractor shall provide a delivery schedule for the deliverables herein. If you are unable to meet the desired delivery date, you may include in your proposal, without prejudicing evaluation of your offer, an alternate delivery date. After receiving an order, the contractor will have thirty (30) calendar days to provide preliminary title evidence committing or binding the company to issue a standard ALTA U.S. Policy 9/28/91 of title insurance (original and three (3) signed copies) showing the current owners(s), liens, taxes (including account numbers), assessments and all other encumbrances. The commitment and a photocopy of all documents, except other encumbrances. The commitment and a photocopy of all documents, except utility easements, shown as exceptions on the title and copies of all restrictive covenants and other restrictions shall be forwarded to the following address: US General Services Administration Attn: Wesley C. French 26 Federal Plaza, Room 16-100 New York, NY 10278 The commitment shall contain no expiration date, or if the underwriter will not waive an expiration date, such expiration date will not be less than two (2) years from the date on the issuance of the commitment. 2. The contractor will bring the title forward and continue the title evidence to a date and time requested for closing, or issuance of lis pendens, by showing any further liens, encumbrances, taxes, assessments, or exceptions to title, in any, from the date of issuance of the commitment to the date designated by an authorized Government official for closing, or issuance of lis pendens. Copies of instruments not included with the original commitment will be furnished with the update. 3. After closing or in anticipation of closing, an order will be issued to the designated title company for a final title policy in the form of a standard ALTA U.S. Policy-9/28/91 (an original and three (3) signed copies) naming the United States of America as insured party. Delivery of the policy will be made to the above address, or, if Government personnel attend the closing, delivery of the final title policy will be made to the Government representative on the day of the closing. If necessary, interim endorsements may be requested if it is determined that a significant change in the title requires it, and the contractor shall provide same. Similar provision for a commitment for title insurance and update or continuation of title, and in some instances, final title, will be required in the event of condemnation. Insurance premiums will be computed upon the total, actual consideration shown in the deed to the United States of America or the amount of the stated estimated just compensation in the declaration of Taking filed by the United States of America in a civil action of condemnation. The final title policy will be issued in the amount of the total, actual consideration recited in the deed to the United States. 4. Title information shall include evidence or action, if any, which will be acceptable to the contractor, and / or approval of curative material for deleting defects in title information and/ or evidence or action necessary to form the basis for the issuance of a final title policy showing title in the United States from such persons or entities reflected in the title evidence. Prior to closing, the contractor shall review and approved of the sufficiency of the proposed deed to the United States. 5. The contractor agrees to report changes in ownership and / or to eliminate or cause to be eliminated from the commitment, title policy or continuations thereof, objections and / or exceptions disclosed in the title policies or commitments issued hereunder when ownership changes occur and / or when curative material obtained by representatives of the United States is acceptable to the designated title company. 6. Prior to closing, the contractor will provide a proforma final title policy to reflect the anticipated substance of the final title policy. 7. The contractor will act as an escrow and/ or disbursing agent for taxes, assessments and other payments from or outside of closing, if requested by the appropriate Government official and as provided in the order. If taxes are to be paid from escrow, the contractor shall issue a final title policy in which no tax lien or unpaid taxes will be noted, or if noted, will be followed by the statement, ?For the payment of which provision has been made by the deposit of a sufficient sum with this company?. 8. The contractor is to provide at an additional cost, if any, on per title basis, for its services to provide a clean title, removing or restating any easement encumbrances. Proposed deeds, closing statements, and costs of recording fees, deed taxes (if any) and other required documentation will be provided to the closing agent. Detailed instructions will be provided by the government, if requested by the contractor. 9. The contractor is requested to provide closing services in place of Government personnel and to record the deed. The contractor is to provide an additional cost, if any, on per closing basis, for its services as closing agent. Proposed deeds, closing statements, and costs of recording fees, deed taxes (if any) and other required documentation will be provided to the closing agent. Detailed instructions will be provided by an agency attorney, if requested by the contractor. 10. On occasion, it may be to the Government?s benefit to cancel a previously ordered, but not yet delivered title insurance policy. When notified by an authorized Government official, the contractor is to cease work on said Policy. The contractor should include a cost, if any, to cancel orders or portions of orders for a canceled policy on a per policy basis. 11. The contractor will perform additional title work (for example, deletion or modification of the ?survey exception?) only as specifically directed by Government officials authorized to place title orders. Fee schedules for additional work not covered herein will be negotiated for each time. 12. Information to be supplied by the Government to assist the contractor will include a map of the general area, names of purported owners. Legal description and surveys, as available, or the best evidence thereof, tract numbers, and the estates to be acquired, all to be provided per order. The government will provide the Standards for the Preparation of Title Evidence in Land Acquisitions by the United States, dated 2001, or the Government will provide the period of search desired. 14. If there are multiple deliveries, partial payments may be made upon acceptance of each delivery and upon provision of an invoice. Where a title policy is required, payment will not be made in advance of issuance of the policy. Payments will be made based upon the premium due as measured by the state-approved rates. It is understood and agreed by the contractor that the time and duration of the acquisition project is estimated, the number of properties to be purchased is estimated, and accordingly the quantities of products and services are estimated and will be delivered as ordered. The Government reserves the right to increase or decrease the total number of products or services to be ordered and delivered under the contract. It is understood that the area of the project is subject to change or correction by reason of deletions from, or additions to, the lands in the project. Payment will be made on the basis of unit price for the actual number of products and services ordered, delivered and accepted, and for the actual amount of liability under the policies. This contract does not obligate the Government to pay the contractor unless such order, delivery, and acceptance are made. It is further understood and agreed that the consideration as herein taken includes compensation for all services and undertakings required of the contractor under the various terms of the contract. 16.
